1. Nature of the Platform
BidZid.app (the “Platform”) is an online auction marketplace operated by Bidzid Technologies Ltd. BidZid provides a digital venue for independent Sellers (“Vendors”) and Buyers to engage in auction-style transactions.
- Agency Status: BidZid acts solely as an Agent and Facilitator. BidZid does not own, inspect, store, or deliver any items listed on the Platform.
- Contract of Sale: The contract for the sale of any item is directly between the Vendor and the Buyer.
2. Payment and Buyer Protection Services
To ensure security for both parties, BidZid utilizes a Trust Framework model for all transactions:
- Payment Collection: All payments are processed through our payment gateway (Paystack) and held in a secure BidZid Account.
- Release of Funds: Funds are released to the Vendor’s wallet only after 3 working days from payment to allow the Buyer to confirm receipt of and inspect the item or after the 48-hour dispute window has lapsed without a claim.
- Service Fee: BidZid deducts a non-refundable 8% commission (the “Service Fee”) from the final auction price before releasing funds to the Vendor.
3. Taxation and eTIMS Compliance
In accordance with the Tax Procedures Act of Kenya:
- Vendor Obligations: Vendors must specify if they are operating as a Private Individual or a Registered Business.
- Tax Identification: Registered Businesses must provide a valid KRA PIN. Private Individuals must provide a valid National ID Number. Any private individual selling more than Kes 80,000 worth of items in a single month must provide their individual KRA Pin for tax compliance.
- Invoicing: BidZid issues a tax-compliant electronic invoice (eTIMS) for its 8% Service Fee. For the main transaction, the Vendor must issue their own eTIMs invoice to the buyer where applicable.
- Income Tax: Vendors are solely responsible for declaring and paying taxes on the income earned from sales on the Platform.
4. Delivery and Logistics
- Vendor Responsibility: All logistics, shipping, or physical handovers are the sole responsibility of the Vendor.
- No-Liability Clause: BidZid is not liable for items lost, damaged, or stolen during transit. We strongly recommend that Buyers and Vendors use trackable courier services or secure public meeting spots for handovers.
5. Verification and Security (KYC)
- Account Integrity: Users are responsible for maintaining the confidentiality of their login credentials. BidZid requires a unique password for all accounts; “Ghost” or “Passwordless” logins are strictly prohibited for security.
- Suspension: BidZid reserves the right to freeze the wallet or suspend the account of any user who provides false tax information (KRA PIN/ID) or fails to complete a transaction.
6. Dispute Resolution
- Reporting: Buyers have 48 hours from the marked delivery date to report an “Item Not as Described” or “Non-Delivery.”
- Arbitration: BidZid will review the evidence provided by both parties. If a dispute is found in favor of the Buyer, the funds will be refunded to the Buyer’s original payment method.
